1. Purpose.
These Terms govern the use of Dealokr. Dealokr is a SaaS product for freelancers, studios, and small professional teams. It helps users formalize a client project and track app-level signatures, provider-processed payments, deliveries, validations, and related evidence.
By creating an account, using a workspace, or opening a client portal, the user accepts these Terms.
2. Users.
Dealokr is primarily intended for professional users: freelancers, studios, small teams or businesses, and professional clients invited to a client portal. A consumer end client may receive a portal invitation when contracting with a freelancer or studio. In that case, Dealokr provides the technical tool; the main commercial relationship remains between the freelancer or studio and its client.
3. Account and access.
The user must provide accurate information and keep login credentials confidential. The user is responsible for actions performed through their account or invitation links, unless they can prove fraudulent use outside their control. Dealokr may suspend or restrict access in case of unlawful, fraudulent, abusive, security-risking, or Terms-breaching use.
4. Dealokr role.
Dealokr provides software for tracking, organization, proof, and operational workflow. Dealokr does not provide tailored legal advice, qualified legal documents, qualified electronic signatures, regulated banking or financial services, regulated funds custody, payment guarantees, delivery guarantees, result guarantees, arbitration, or certified mediation.
Documents generated or displayed by Dealokr are operational materials. The parties remain responsible for reviewing, adapting, and validating them where needed.
5. Deals and agreements.
A deal may include a project description, fixed price or daily rate, payment and billing terms, milestones, deliverables, daily-rate work logs, review and validation rules, files, external links, comments, messages, events, and evidence. App-level Dealokr signatures are records of agreement inside the product. They are not presented as qualified electronic signatures.
6. Payments.
Payments are processed by the configured provider, including Stripe Connect when that integration is used. Dealokr may display statuses such as payment pending, payment confirmed, period paid, release, refund, or provider dispute. Dealokr must not be understood as holding the client's funds on its own account. Payment movements depend on the provider, its terms, its controls, and the applicable framework.
7. Fixed-price and daily-rate missions.
Dealokr may support fixed-price deals and daily-rate missions with time lines, client validation, and payment periods. For daily-rate missions, only validated lines can be grouped into a payable period. Disputed lines must be corrected, discussed, or excluded from the period.
8. Deliveries and files.
The freelancer can submit files, external links, notes, and proof elements. Files stored in Dealokr may be protected by private storage, temporary links, access roles, and validation states. External links remain controlled by the third-party provider. Dealokr may store and track them, but it does not always control the real permissions of the external service.
9. Disputes and evidence.
Dealokr keeps an operational record: agreement, PDF, app-level signatures, provider-confirmed payments, deliveries, validations, messages, events, and evidence. This record can help the parties understand a disagreement or prepare a response to a provider, bank, adviser, court, mediator, or competent authority. Dealokr does not guarantee the outcome of a dispute, chargeback, Stripe procedure, or disagreement between the parties.
10. Pricing, subscription, and cancellation.
Offers, prices, limits, fees, and billing periods are presented in the interface or on the pricing page. Paid subscriptions are processed by the configured billing provider, including Stripe Billing where used. Current subscriptions are intended for professionals. If Dealokr later opens subscriptions to consumers, the cancellation flow must be adapted to the applicable rules.
Cancellation does not automatically delete deals, contracts, payments, evidence, or data retained for security, billing, legal obligations, disputes, or defense of rights.
11. Consumers.
Dealokr subscriptions are intended for professionals. Dealokr is not currently intended to sell paid subscriptions directly to consumers. If Dealokr later opens subscriptions to consumers, pre-contract information, withdrawal rights, consumer mediation, and online cancellation rules must be added or adapted before that launch.
12. User obligations.
The user agrees not to use Dealokr for unlawful, misleading, or fraudulent activity; upload unlawful or infringing content; bypass security; manipulate evidence, signatures, payment statuses, or deliveries; or present Dealokr as a banking, regulated escrow, legal advice, or result guarantee service.
13. Availability and security.
Dealokr uses reasonable means to provide a stable and secure service. The service may be affected by maintenance, outage, network incident, provider error, Stripe restriction, Supabase or Vercel unavailability, or force majeure event. Dealokr does not promise a permanent, error-free service suited to every use case.
14. Liability.
Each user remains responsible for their project, contract, files, taxes, invoices, client relationship, and legal obligations. Dealokr cannot be held responsible for user content, a disagreement between client and freelancer, a provider or bank decision, an unavailable external link, incorrect user configuration, or poor performance by one party. For professional users, Dealokr's liability may be limited to the amount paid for the service during a reasonable period preceding the event, subject to mandatory applicable rules.
15. Personal data.
Data processing is described in the Privacy Policy, Cookie Policy, Retention and Deletion Policy, and, where relevant, the DPA.
16. Complaints and governing law.
Complaints may be sent to dealokr.support@gmail.com. Unless mandatory rules provide otherwise, the relationship with Dealokr is governed by French law. The French version of the legal documents controls over any translation.
17. Changes.
Dealokr may change these Terms to reflect changes in the service, offers, providers, or applicable law. Important changes will be brought to users' attention by reasonable means.
